1. Acceptance of Terms

By accessing or using OCR Agent Pro ("the Service"), operated by NxtWaveAI, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including individual users and company/workspace account holders.

2. Description of Service

OCR Agent Pro is an AI-powered document extraction platform that allows users to create extraction agents, upload documents, and receive structured JSON data. The Service operates on a credit-based model and offers subscription plans. NxtWaveAI supports third-party AI providers (OpenAI, Anthropic) and also allows you to connect your own AI provider keys (BYOK — Bring Your Own Key), including self-hosted models via Ollama.

3. Account Registration

You must register for an account to use most features. You agree to:

• Provide accurate and complete registration information
• Keep your login credentials confidential
• Notify us immediately of any unauthorised use of your account
• Be responsible for all activities that occur under your account
• Not share your account with others (team features are available for this purpose)

You must be at least 18 years old to create an account.

4. Credits and Billing

The Service uses a page-based usage model. Each subscription plan includes a monthly page allowance: the Free plan includes 100 pages per month; Pro includes 5,000 pages per month; Team includes 20,000 pages per month. Additional pages may be purchased as add-on credits. Creating an agent consumes credits from your balance; processing each document page costs 1 credit. Credits are non-transferable and non-refundable unless otherwise stated in our Refund Policy.

Subscription plans (Free, Pro, Team) are billed monthly or annually via Stripe. You authorise NxtWaveAI to charge your payment method for the applicable fees. Failure to pay may result in suspension or termination of your account.

Prices are subject to change with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

• Upload or process documents you do not have the right to process
• Process documents containing illegal, harmful, or abusive content
• Attempt to reverse-engineer, bypass, or disable any security features
• Use the Service for any unlawful purpose
• Interfere with the Service's infrastructure or other users' access
• Resell or sublicense access to the Service without prior written consent
• Upload malware or malicious files
• Circumvent rate limits or usage restrictions

6. Intellectual Property

NxtWaveAI retains all rights to the OCR Agent Pro platform, including software, design, trademarks, and proprietary algorithms. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your own business purposes.

You retain ownership of your uploaded documents and extraction results. By using the Service, you grant NxtWaveAI a limited licence to process your documents solely to provide the Service.

7. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. NxtWaveAI does not warrant that the Service will be uninterrupted, error-free, or that extraction results will be 100% accurate. AI-based extraction is inherently probabilistic and results should be reviewed by you before use in critical applications.

8. Limitation of Liability

To the maximum extent permitted by law, NxtWaveAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you to NxtWaveAI in the 12 months preceding the claim.

9. Termination

You may terminate your account at any time from Settings → Account. We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with 30 days' notice. Upon termination, your right to use the Service ceases immediately. Unused credits are non-refundable unless you are entitled to a refund under our Refund Policy.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
